DeepReel Technologies, Inc. Terms of Service
These Terms of Service (the "Terms") govern access to and use of the websites located at https://www.deepreel.com, related applications, application programming interfaces, software, tools, video-generation services, AI avatar, image, voice, document-to-video, and other artificial-intelligence-enabled products and services, documentation, features, content, and any related services provided by DeepReel Technologies, Inc. (collectively, the "Services").
By accessing or using the Services, creating an account, clicking to accept these Terms, or purchasing or using any subscription, credit, generation, export, API, or other feature, you agree to be bound by these Terms and all policies referenced in these Terms. If you do not agree, you may not access or use the Services.
1. General Terms and Acceptance
You represent and warrant that you are at least 18 years old, or the age of majority in your jurisdiction, and have the legal capacity to enter into a binding contract. If you access or use the Services on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity, and references to "you" and "your" include that entity.
These Terms, together with any order form, subscription checkout, acceptable use policy, privacy policy, product-specific terms, or other terms expressly incorporated by reference, form the entire agreement between you and DeepReel regarding the Services, unless a separate written agreement signed by DeepReel states otherwise.
No agency, partnership, joint venture, employment, fiduciary, or franchise relationship is created by these Terms or your use of the Services. You may not assign or transfer these Terms without DeepReel’s prior written consent. DeepReel may assign these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, financing, corporate reorganization, or sale of assets.
2. Definitions
- "DeepReel," "we," "us," and "our" mean DeepReel Technologies, Inc. and, where applicable, its affiliates, including DeepReel Limited (a company incorporated in the United Kingdom), officers, directors, employees, contractors, agents, vendors, licensors, and service providers.
- "User," "you," and "your" mean the individual or entity accessing or using the Services.
- "User Input" means prompts, scripts, text, files, images, photographs, likenesses, voices, audio, video, slides, documents, URLs, brand assets, logos, data, instructions, or other content that you upload, submit, provide, import, link, or otherwise make available to the Services.
- "User Output" means videos, images, audio, avatars, scripts, captions, translations, voice tracks, animations, edits, renderings, or other content generated, modified, or returned by the Services based on User Input or your use of the Services.
- "Your Content" means User Input, User Output, and any other information, materials, or content you submit, post, upload, transmit, generate, create, make available, or store through the Services.
- "DeepReel Content" means the Services and all software, APIs, models, systems, interfaces, templates, stock assets, sample assets, documentation, workflows, designs, graphics, text, audio, video, code, data, know-how, trademarks, and other materials made available by or on behalf of DeepReel, excluding Your Content.
- "Plan" means a paid subscription, credit, seat, usage, API, or other access plan made available by DeepReel.
- "Representatives" means DeepReel’s affiliates, officers, directors, employees, contractors, agents, vendors, licensors, advisors, payment processors, hosting providers, model providers, and other service providers.
3. Privacy; Data Processing
DeepReel’s Privacy Policy, available at https://deepreel.com/privacy-policy, describes how DeepReel collects, uses, discloses, and protects personal information in connection with the Services. By using the Services, you acknowledge DeepReel’s Privacy Policy.
If you access or use the Services on behalf of an entity, and User Input or Your Content contains personal information that DeepReel processes on behalf of that entity, DeepReel will process such information in accordance with these Terms, the Privacy Policy, and any separate written agreement that DeepReel has entered into with that entity. DeepReel may make additional data processing terms available in the future for eligible customers.
DeepReel may process usage, account, billing, support, security, diagnostic, telemetry, and operational data for its own business purposes, including to provide, maintain, secure, analyze, benchmark, support, improve, and develop the Services; prevent fraud and abuse; conduct research and development; comply with law; enforce these Terms; and perform billing, accounting, customer management, analytics, and administrative functions. This operational processing may occur even where Your Content is not used for model training.
4. Access to and Use of the Services
Subject to your compliance with these Terms and payment of all applicable fees, DeepReel grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services during the applicable term and solely for lawful purposes and in accordance with your Plan.
DeepReel and its licensors retain all right, title, and interest in and to the Services and DeepReel Content. No rights are granted except as expressly stated in these Terms. You may not resell, lease, rent, sublicense, distribute, white-label, frame, mirror, or make the Services available to third parties except as expressly authorized by DeepReel in writing or under your applicable Plan.
If your Plan permits employees, contractors, affiliates, or other authorized users to use the Services on your behalf, you are responsible for their compliance with these Terms and for all activity under your account, workspace, API keys, credentials, and payment methods.
5. Accounts and Account Security
You must provide accurate, current, and complete account, billing, and contact information and keep it updated. You are responsible for maintaining the confidentiality and security of your account credentials, API keys, devices, workspaces, and administrative controls.
You must promptly notify DeepReel at support@deepreel.com if you discover or suspect unauthorized access to your account, workspace, API key, payment method, or Your Content. DeepReel is not responsible for loss or damage arising from your failure to safeguard your account or credentials.
6. User Input, User Output, and Your Content
As between you and DeepReel, and subject to these Terms, you retain ownership of User Input that you submit to the Services. Paid users own User Output generated through the Services, subject to these Terms, DeepReel’s rights in DeepReel Content, and any third-party rights or restrictions. To the extent DeepReel obtains any right, title, or interest in User Output that is not DeepReel Content, DeepReel assigns that interest to you.
You are solely responsible for Your Content, including ensuring that you have all rights, licenses, consents, permissions, notices, and legal bases necessary to submit User Input to the Services, generate User Output, use or distribute User Output, and grant the licenses in these Terms. You represent and warrant that Your Content and your use of the Services will not violate these Terms, applicable law, or any third-party right, including intellectual property, privacy, publicity, contract, employment, confidentiality, consumer protection, or biometric-data rights.
You grant DeepReel a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to access, use, host, cache, store, reproduce, transmit, display, perform, modify, create derivative works from, process, render, publish, distribute, and otherwise use Your Content as necessary to provide, maintain, secure, support, moderate, troubleshoot, and improve the Services; enforce these Terms; comply with law; and as otherwise described in the Privacy Policy, applicable Plan, or enterprise agreement.
Depending on your Plan and the nature of the data, DeepReel may use some User Input, User Output, and other Your Content to improve, train, evaluate, benchmark, or develop artificial intelligence and machine learning models, systems, safety features, and related technologies. Customer content is not excluded from such uses by default. You may request to opt out of model-training uses by emailing support@deepreel.com. DeepReel may continue to use Your Content for non-model-training purposes, including providing, maintaining, securing, debugging, supporting, analyzing, and improving the Services; preventing abuse; complying with law; and enforcing these Terms. Use of biometric identifiers and biometric information for the purposes described in this Section is further governed by Section 4A of the DeepReel Privacy Policy, including the retention schedule, consent terms, and no-sale commitment stated there.
Because the Services use generative artificial intelligence, User Output may not be unique. Other users may receive the same or similar outputs, including from similar prompts, inputs, settings, templates, models, or independent uses of the Services. You do not obtain rights in other users’ outputs.
DeepReel may, in its discretion, remove, block, refuse, disable, suspend, quarantine, review, or delete any User Input or User Output that DeepReel believes may violate these Terms, law, platform policy, third-party rights, model-provider rules, or trust-and-safety requirements. DeepReel is not obligated to monitor Your Content or to preserve copies of Your Content.
7. AI Avatars, Voice, Likeness, Consent, and Synthetic Media
You may not upload, submit, generate, clone, synthesize, modify, animate, imitate, impersonate, or create an avatar, image, voice, likeness, persona, signature, biometric identifier, or performance of any person unless you have obtained all consents, releases, rights, licenses, and authorizations required by applicable law and these Terms.
Without limiting the foregoing, you represent and warrant that you have obtained legally sufficient consent from each identifiable person whose face, body, image, voice, likeness, name, biometric identifier, performance, personal data, or persona is included in User Input or User Output, including consent for synthetic media generation, modification, storage, processing, commercial use, publication, distribution, and reuse as applicable.
You may not use the Services to deceive, defraud, impersonate, harass, exploit, or mislead any person; to falsely suggest endorsement, sponsorship, affiliation, employment, consent, or authority; or to create non-consensual sexual, intimate, defamatory, threatening, abusive, political, financial, legal, medical, or otherwise harmful synthetic media.
If you distribute or publish User Output generated using artificial intelligence, avatars, synthetic voices, or other synthetic media, you must make all disclosures required by applicable law, platform rules, industry standards, and any DeepReel policy, and you must not represent AI-generated output as entirely human-generated where doing so would be misleading.
8. Acceptable Use; Prohibited Conduct
You may access and use the Services only in accordance with these Terms, DeepReel’s Acceptable Use Policy at https://deepreel.com/acceptable-use-policy, and applicable law. You may not, directly or indirectly:
- use the Services or Your Content for unlawful, harmful, fraudulent, deceptive, abusive, harassing, threatening, defamatory, obscene, sexually explicit, exploitative, hateful, violent, extremist, invasive, infringing, or otherwise objectionable purposes;
- submit or generate content that infringes, misappropriates, or violates intellectual property, privacy, publicity, confidentiality, biometric, contractual, or other rights;
- upload, use, generate, or distribute images, voices, likenesses, or personal information of individuals without legally sufficient consent and authorization;
- impersonate any person or entity or misrepresent the origin, sponsorship, approval, human authorship, or authenticity of User Output;
- use the Services for political campaigning, lobbying, voter suppression, election deception, or other political uses prohibited by DeepReel policy;
- use the Services to provide or generate professional advice in legal, financial, medical, mental health, tax, employment, immigration, housing, insurance, credit, education, or similarly regulated contexts without appropriate professional review and all required disclosures;
- use the Services to create malware, phishing, spam, scams, social engineering, unauthorized surveillance, credential theft, or other security abuse;
- reverse engineer, decompile, disassemble, decode, copy, benchmark, scrape, crawl, mine, extract, harvest, or attempt to discover source code, models, prompts, weights, datasets, security measures, or underlying technology of the Services;
- use the Services or outputs to build, train, benchmark, compare, or improve a competing product or service, except as expressly permitted by DeepReel in writing;
- circumvent, disable, degrade, remove, or bypass any watermark, safety filter, content moderation, rate limit, technical protection, access control, or usage restriction;
- overburden, disrupt, damage, interfere with, or attempt unauthorized access to the Services, accounts, networks, systems, or data;
- transmit viruses, worms, logic bombs, malicious code, or technologically harmful material;
- resell, sublicense, white-label, frame, mirror, or make the Services available to third parties without authorization;
- use automated systems, bots, scripts, scraping tools, bulk generation, or API calls in violation of your Plan, documentation, or rate limits;
- remove proprietary notices from DeepReel Content or falsely imply that DeepReel endorses you, Your Content, or your products or services; or
- use the Services in any manner not expressly permitted by these Terms or your applicable Plan.
9. Term and Termination
These Terms begin when you first access or use the Services and continue until terminated. You may terminate these Terms by discontinuing use of the Services, cancelling your subscription if applicable through the subscription page in the DeepReel application after logging in to your account at https://deepreel.com/, and deleting your account through available account settings or by contacting DeepReel.
DeepReel may suspend, restrict, or terminate your access to the Services, Your Content, User Output, API keys, workspaces, or account immediately, with or without notice, if DeepReel believes you have violated these Terms, applicable law, third-party rights, model-provider rules, or DeepReel policies; if your use poses a security, legal, operational, reputational, or trust-and-safety risk; if payment is overdue; if required by law or a third-party provider; or for any other reason permitted by law.
Upon termination, your right to access and use the Services ceases immediately. DeepReel may delete Your Content, account data, and User Output, subject to applicable law, backup practices, retention policies, and any written enterprise agreement. DeepReel is not liable for deletion or failure to delete Your Content.
If DeepReel terminates your access because of your breach of these Terms or DeepReel policies, you must stop using and, where legally required or requested by DeepReel, delete or cease distributing User Output and other materials obtained through the Services. Sections that by their nature should survive termination will survive, including Sections 2, 3, 6, 7, 8–24, and 26–28.
10. Confidentiality
You may receive or access non-public information of DeepReel or third parties through the Services, including product plans, beta features, model information, technical documentation, security information, pricing, business information, and other information designated as confidential or that should reasonably be understood to be confidential ("Confidential Information").
You may use Confidential Information only to access and use the Services as permitted by these Terms. You must protect Confidential Information using at least reasonable care and no less care than you use for your own confidential information. You may disclose Confidential Information only to your personnel who need to know it and are bound by confidentiality obligations at least as protective as these Terms.
If you are legally required to disclose Confidential Information, you must provide DeepReel with reasonable advance notice, unless prohibited by law, and cooperate with reasonable efforts to limit or challenge the disclosure.
11. Subscriptions, Payments, Taxes, and Refunds
Some Services require payment, credits, usage commitments, seats, subscriptions, API usage fees, overage fees, or other charges. You agree to pay all fees, taxes, and charges incurred by you or on your behalf at the prices and billing intervals in effect when incurred, as stated on the pricing page, order form, checkout page, invoice, or applicable agreement.
If you enroll in a recurring subscription, you authorize DeepReel and its payment processors to store and automatically charge your payment method, including updated payment-method information received from your bank or payment provider, for recurring subscription fees, usage fees, overages, taxes, and other amounts due until you cancel or the subscription is terminated.
Subscriptions automatically renew for the same period unless cancelled before renewal, unless the applicable order form states otherwise. You may cancel through the subscription page in the DeepReel application after logging in to your account at https://deepreel.com/. Cancellation takes effect at the end of the then-current billing period unless DeepReel states otherwise. All fees and Credits are strictly non-refundable, and DeepReel does not provide credits or refunds for partial periods, unused Credits, unused generations, seat reductions, downgrades, cancellation, non-use, or failure to use the Services.
If your usage exceeds the amount included in your Plan, DeepReel may charge overage fees at the rates disclosed in your Plan, order form, pricing page, or then-current rates. DeepReel may suspend, downgrade, cancel, or terminate access and cancel unused Credits for non-payment, failed payment methods, chargebacks, fraud risk, or excessive usage. If collection action is required, you agree to reimburse DeepReel for reasonable collection costs, attorneys’ fees, and expenses to the extent permitted by law.
Prepaid Credits
Certain Plans include prepaid credits that are provided as part of your subscription ("Credits"). Credits are a contractual right to access eligible Services under the applicable Plan and are not money, stored value, gift cards, currency, or property. Credits have no cash value, are not redeemable for cash, are non-transferable, and may not be sold, assigned, exchanged, pledged, or used outside the Services except as expressly permitted by DeepReel in writing.
All purchases of subscriptions and Credits are final and strictly non-refundable. Credits are prepaid as part of your subscription. DeepReel may set, change, or discontinue Credit packages, usage rates, conversion rates, expiration periods, replenishment rules, rollover rules, feature availability, and other Credit limits from time to time. Credits may expire at the end of the applicable subscription period or after any expiration period disclosed at purchase, on the pricing page, in your Plan, or in the Services. Unused Credits may be cancelled or forfeited if your subscription expires, your account is cancelled, suspended, or terminated, your payment fails, or you breach these Terms.
DeepReel may deduct Credits based on the applicable feature, generation type, output length, resolution, processing time, model selection, number of seats, API usage, storage, exports, retries, regenerations, or other usage variables. Credit usage is defined on the pricing page and varies by feature, and the pricing page, usage rates, and Credit requirements may change from time to time. DeepReel may correct Credit balances, reverse improperly credited amounts, prevent abuse, and impose reasonable technical or billing controls to protect the Services. Credits do not guarantee availability of any particular feature, model, output quality, processing speed, or third-party service.
DeepReel may change prices, Plans, features, limits, and fees by posting updated pricing or providing notice as required by law. Price changes will apply at the next renewal or as otherwise disclosed. Promotional offers, coupons, credits, and discounts may be modified or withdrawn at DeepReel’s discretion unless prohibited by law.
12. Service Changes, Revisions, and Errors
The Services may contain technical, typographical, factual, visual, audio, rendering, transcription, translation, or other errors. DeepReel may change, suspend, discontinue, update, replace, limit, or remove any feature, model, workflow, template, integration, export option, Plan, or part of the Services at any time, with or without notice, subject to any applicable written agreement.
DeepReel does not guarantee that the Services, User Output, pricing, documentation, or other materials are accurate, complete, current, uninterrupted, secure, error-free, or suitable for your use case. You are responsible for reviewing and testing User Output before publication, distribution, reliance, or commercial use.
13. Disclaimers; AI Output Review
THE SERVICES, DEEPREEL CONTENT, AND USER OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEEPREEL AND ITS REPRESENTATIVES DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, SATISFACTORY QUALITY, COURSE OF DEALING, AND TRADE USAGE.
DEEPREEL DOES NOT WARRANT THAT THE SERVICES OR USER OUTPUT WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, ACCURATE, COMPLETE, CURRENT, AVAILABLE, NON-INFRINGING, FREE OF HARMFUL CODE, OR THAT CONTENT WILL NOT BE LOST, ALTERED, OR DISCLOSED. DEEPREEL DOES NOT WARRANT THAT USER OUTPUT WILL BE UNIQUE, APPROPRIATE, LEGAL, SAFE, COMPLIANT, OR SUITABLE FOR ANY PARTICULAR USE.
Artificial intelligence systems may produce inaccurate, incomplete, offensive, misleading, biased, infringing, outdated, or otherwise inappropriate User Output. You are solely responsible for evaluating User Output, including through human review, legal review, fact-checking, rights clearance, consent verification, and professional review where appropriate, before using, publishing, distributing, relying on, or commercializing User Output.
User Output is not legal, financial, medical, tax, accounting, employment, investment, insurance, educational, or other professional advice. You must not rely on factual assertions in User Output without independently verifying them. DeepReel is not responsible for decisions, actions, losses, or claims arising from your reliance on or use of User Output.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEEPREEL AND ITS REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; LOSS OF PROFITS, REVENUE, GOODWILL, DATA, CONTENT, OPPORTUNITY, SAVINGS, BUSINESS, USE, OR REPUTATION; BUSINESS INTERRUPTION; COST OF SUBSTITUTE SERVICES; OR DATA LOSS OR CORRUPTION, EVEN IF DEEPREEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEEPREEL’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, DEEPREEL CONTENT, OR USER OUTPUT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO DEEPREEL FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
The limitations in this Section apply to all theories of liability, whether based in contract, tort, negligence, strict liability, statute, warranty, indemnity, equity, or otherwise, and even if any remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.
15. Third-Party Services and Materials
The Services may interoperate with, rely on, or include third-party websites, applications, integrations, models, APIs, cloud services, payment processors, hosting providers, app stores, stock assets, fonts, templates, datasets, open-source software, and other third-party services or materials. DeepReel does not control and is not responsible for third-party services or materials, including their content, accuracy, legality, availability, security, privacy practices, quality, or performance.
Your use of third-party services or materials may be subject to separate terms and privacy policies. DeepReel may add, remove, suspend, replace, or modify third-party services and integrations at any time. DeepReel is not liable for loss or damage arising from third-party services, third-party materials, or your interactions with third parties.
16. DeepReel Intellectual Property
DeepReel and its licensors own all right, title, and interest in and to the Services, DeepReel Content, DeepReel trademarks, logos, domain names, product names, software, APIs, models, systems, workflows, templates, documentation, user interfaces, designs, code, data, know-how, trade secrets, and all related intellectual property rights.
Except as expressly permitted by these Terms, you may not copy, modify, adapt, translate, create derivative works from, distribute, sell, rent, sublicense, publicly display, publicly perform, transmit, publish, republish, scrape, extract, reverse engineer, or otherwise exploit DeepReel Content or the Services without DeepReel’s prior written consent. All rights not expressly granted are reserved by DeepReel and its licensors.
17. Copyright Complaints and Repeat Infringers
If you believe content available through the Services infringes your copyright, you may send a copyright infringement notice to DeepReel at support@deepreel.com with the following information:
- a physical or electronic signature of the copyright owner or a person authorized to act on the owner’s behalf;
- identification of the copyrighted work claimed to have been infringed, or a representative list of works if multiple works are involved;
- identification of the allegedly infringing material and information reasonably sufficient for DeepReel to locate it;
- your name, telephone number, and email address;
- a statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and
- a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.
DeepReel may remove or disable access to allegedly infringing content and may terminate accounts of repeat infringers in appropriate circumstances. DeepReel may request additional information, forward notices or counter-notices to affected users, or restore content where appropriate. Copyright notices should be sent to support@deepreel.com
18. Indemnification
You will defend, indemnify, and hold harmless DeepReel and its Representatives from and against any claims, demands, actions, investigations, losses, damages, liabilities, settlements, judgments, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
- your access to or use of the Services;
- Your Content, User Input, User Output, or any publication, distribution, commercialization, or reliance on User Output;
- your breach or alleged breach of these Terms, any applicable policy, or any representation or warranty;
- your violation or alleged violation of applicable law or third-party rights, including intellectual property, privacy, publicity, biometric, confidentiality, consumer protection, or contract rights;
- your failure to obtain required rights, consents, releases, notices, authorizations, or legal bases for images, voices, likenesses, personal information, or other content;
- your products, services, advertisements, client work, campaigns, or business activities involving the Services or User Output; or
- any dispute between you and any other person or entity relating to Your Content or use of the Services.
DeepReel may control the defense of any indemnified claim. You may not settle any claim without DeepReel’s prior written consent if the settlement imposes any obligation on DeepReel, admits fault by DeepReel, or does not fully release DeepReel from liability.
19. Force Majeure
DeepReel will not be liable for any delay, failure, interruption, or inability to perform caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, government action, power failures, internet or telecommunications failures, cloud-provider or model-provider outages, cyberattacks, denial-of-service attacks, pandemics, supply-chain issues, or other events beyond DeepReel’s reasonable control.
20. Notices; Electronic Communications
You consent to receive electronic communications from DeepReel, including by email, in-product notice, account dashboard, website posting, or other electronic means. Notices to you may be sent to the email address or account contact information you provide. You are responsible for keeping contact information current.
Legal notices to DeepReel must be sent by email to team@deepreel.com, unless another notice method is specified in a separate written agreement signed by DeepReel.
21. Dispute Resolution; Arbitration; Class-Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES, TO THE EXTENT PERMITTED BY LAW, THAT DISPUTES BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION RATHER THAN BY JURY TRIAL OR CLASS ACTION.
Before filing a claim, you and DeepReel agree to try to resolve the dispute informally. A party seeking to bring a claim must send written notice describing the dispute, requested relief, and contact information. Notices to DeepReel must be sent to team@deepreel.com. The parties will attempt in good faith to resolve the dispute for at least thirty (30) days after notice is received.
Except for claims that may be brought in small claims court, claims solely for injunctive or equitable relief, or intellectual property claims, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, DeepReel Content, or User Output will be resolved by final and binding arbitration administered by the American Arbitration Association under its applicable rules, before a single arbitrator.
The seat and venue of arbitration will be Delaware, unless applicable consumer law requires otherwise or the parties agree otherwise. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Subject to this arbitration agreement, the state and federal courts located in Delaware will have exclusive jurisdiction over disputes not subject to arbitration, and each party consents to personal jurisdiction and venue in those courts.
You and DeepReel agree that each may bring claims only in an individual capacity and not as a plaintiff or class member in any class, collective, consolidated, private attorney general, or representative action. The arbitrator may not consolidate claims or preside over any class or representative proceeding, except to the extent this waiver is prohibited by applicable law.
You may opt out of this arbitration agreement by sending written notice to team@deepreel.com within thirty (30) days after you first accept these Terms as a new user. Subsequent updates to these Terms do not reopen this opt-out window. Your notice must include your name, email address associated with your account, and a clear statement that you opt out of arbitration. Opting out does not affect any other provision of these Terms.
Nothing in this Section limits either party’s right to seek temporary, preliminary, or permanent injunctive or equitable relief in court to protect intellectual property, confidential information, security, or unauthorized use of the Services.
22. Changes to These Terms
DeepReel may modify these Terms from time to time. DeepReel will update the "Last Updated" date and may provide additional notice for material changes through email, in-product notice, account dashboard, or website posting. Changes are effective when posted unless a later effective date is stated or additional notice is required by law.
Your continued access to or use of the Services after changes become effective means you accept the updated Terms. If you do not agree to updated Terms, you must stop using the Services and cancel any subscription. Changes to the arbitration provisions will not apply to disputes for which arbitration has already been initiated unless the parties agree otherwise.
23. Export Controls and Sanctions
You must comply with all applicable export control, sanctions, anti-boycott, and trade laws. You may not access, use, export, re-export, transfer, or provide the Services or DeepReel Content in violation of those laws, including to embargoed countries or territories, restricted parties, or prohibited end uses.
You represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive U.S. sanctions; are not listed on any U.S. or other applicable restricted-party list; and will not use the Services for prohibited nuclear, chemical, biological, military, surveillance, or other restricted end uses.
24. Feedback
If you provide comments, suggestions, ideas, bug reports, feature requests, improvements, or other feedback regarding the Services ("Feedback"), you grant DeepReel a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable, transferable right to use, disclose, reproduce, modify, distribute, commercialize, and otherwise exploit the Feedback for any purpose without restriction, attribution, or compensation. To the extent rights in Feedback cannot be licensed or assigned, you waive any moral rights, attribution rights, and similar rights to the maximum extent permitted by law.
25. California Residents
If you are a California resident, in accordance with California Civil Code Section 1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
26. Account Inactivity and Data Deletion
If you do not access or use an inactive account for a continuous period of six (6) months, DeepReel may, after reasonable notice where practicable, suspend or delete the account and associated Your Content, Credits, and User Output. DeepReel is not responsible for deletion, loss, corruption, or failure to store Your Content, Credits, User Output, or account information.
DeepReel may retain or delete Your Content and account information in accordance with its Privacy Policy, backup practices, legal obligations, dispute needs, security requirements, and applicable written agreements.
27. Miscellaneous
If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force. Failure to enforce any provision is not a waiver. A waiver must be in writing and signed by the party waiving the right.
The headings in these Terms are for convenience only and do not affect interpretation. The words "including" and "includes" mean "including without limitation." These Terms do not confer rights on third parties except where expressly stated. DeepReel may use subcontractors and service providers to perform its obligations.
If these Terms are translated, the English version controls to the extent of any conflict. You agree that these Terms and related documents may be executed, accepted, and maintained electronically.
